Ordyn Terms of Service

By downloading, accessing, or using Ordyn (the "App"), a mobile crypto trading journal operated by Ordyn Inc. (a British Columbia corporation, "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

1. Description of Service

Ordyn is a non-custodial trading journal providing tools for logging trades, DCA planning, performance analytics, streak tracking, pattern recognition, screenshot annotation, and an AI Coach for feedback. Optional non-custodial order routing to third-party exchanges (e.g., Bitget, Binance, Hyperliquid) is available with explicit user confirmation. We do not custody funds, execute trades on your behalf, or provide investment advice.

2. Eligibility

You must be at least 18 years old and legally capable of entering into contracts. By using Ordyn, you represent that you meet these requirements and are not prohibited from using the App under applicable law.

3. Account Registration & Security

• You must create an account to access most features.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• Notify us immediately at support@ordyn.io of any unauthorized use.

4. Non-Custodial Order Routing

When enabled, Ordyn routes user-confirmed orders to licensed exchanges via API keys you provide. We never hold private keys or funds. You are solely responsible for all routed orders, associated risks, losses, fees, and compliance with exchange terms. Routing is provided "as is" with no guarantee of execution.

5. AI Coach & Analytics

AI-generated feedback (e.g., roasts, scoring) is for entertainment and educational purposes only. It is not financial, investment, or trading advice. You remain fully responsible for all trading decisions.

6. User Content & License

You retain ownership of content you upload (trade logs, screenshots, notes). By uploading, you grant us a non-exclusive, royalty-free license to use, store, display, and process it solely to provide and improve the App.

7. Prohibited Conduct

You may not:

• Use the App for illegal activities or market manipulation.
• Reverse engineer, decompile, or attempt to extract source code.
• Interfere with App operation or servers.
• Share misleading or harmful content.

We may suspend or terminate accounts for violations without notice.

8. Subscriptions & Payments

• Free Tier: Limited features.
• Pro Monthly: $39 USD/month (auto-renewing).
• Pro Yearly: $349 USD/year (auto-renewing).
• Lifetime: $499 USD one-time (limited availability) — grants perpetual access to core App features (excluding variable AI usage costs below).

Payments processed securely via Apple App Store, Google Play, or RevenueCat. All fees non-refundable except as required by law. Prices may change with notice.

9. AI Features (Voice & Advanced Usage)

• Core AI Coach (text feedback) is included in Pro/Lifetime.
• Voice AI (real-time spoken interaction): Additional $20 USD/month for 300 minutes base allowance.
• Usage beyond 300 minutes: Top-up at current per-minute rates.
• Rates are pass-through costs from third-party AI providers (e.g., xAI/Grok) and subject to change without notice — we have no control over provider pricing.
• Lifetime access covers the App and core features only — variable AI usage (voice minutes) remains pay-per-use.

10. Intellectual Property

The App, its design, code, and branding are owned by Ordyn Inc. You are granted a limited, non-transferable license for personal use only.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. WE ARE NOT RESPONSIBLE FOR MARKET LOSSES, EXCHANGE DOWNTIME, ERRORS IN AI OUTPUT, OR CHANGES IN THIRD-PARTY AI PRICING.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDYN INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold Ordyn Inc. harmless from any claims arising from your use of the App, violation of these Terms, or routed orders.

14. Termination

We may terminate or suspend your access at any time for any reason. Upon termination, your right to use the App ceases immediately.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada. Any disputes shall be resolved exclusively in the courts of Vancouver, British Columbia.

16. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Significant changes will be notified in-app or via email.

17. Miscellaneous

• Severability: If any provision is invalid, the remainder remains in effect.
• Force Majeure: We are not liable for failures due to events beyond our control.
• Entire Agreement: These Terms constitute the entire agreement.
