Ordyn Affiliate Program Terms

These Affiliate Program Terms (the "Affiliate Terms") govern your participation in the Ordyn Affiliate Program (the "Program"), operated by Order Dynamics Inc., a British Columbia corporation doing business as "Ordyn" ("Ordyn", "we", "us", "our"). By applying to, enrolling in, or participating in the Program, you ("Affiliate", "you", "your") agree to these Affiliate Terms, which supplement Ordyn's Terms of Service and Privacy Policy. If you do not agree, do not participate in the Program.

1. Enrollment & Eligibility

You apply to the Program at ordyn.io/become-an-affiliate. Acceptance is at our sole discretion, and we may approve or decline any applicant for any reason.
You must be at least 18 years old and legally able to enter into contracts.
You must provide accurate, current information, including a valid payout method, and keep it up to date.
We may suspend or terminate any Affiliate at any time, with or without notice, as described in Section 9.

2. Your Referral Link & Attribution

Upon approval, you receive a unique referral link and/or code. You earn commission only on paid subscriptions correctly attributed to your link.
Attribution is determined by Ordyn's tracking on a last-click basis: a sale is attributed to you when a customer reaches checkout through your referral link and completes a paid purchase using the email associated with that checkout.
Tracking depends on cookies, URL parameters, and the customer using your link. We are not responsible for attribution failures caused by ad blockers, privacy settings, cross-device behavior, customers clearing cookies, or customers not using your link.
You may not alter, cloak, or manipulate your referral link or Ordyn's tracking.

3. Commissions

Subscriptions: 30% of the Net Amount paid by each referred customer during their first 12 months, then 15% of the Net Amount on each renewal thereafter, for as long as the referred customer maintains an active paid subscription.
Lifetime plan: a one-time payment of 30% of the Net Amount paid.
"Net Amount" means the amount actually received and retained by Ordyn for a referred subscription, after deduction of refunds, chargebacks, reversals, discounts, credits, applicable taxes, and payment-processing fees.
Commissions accrue only on payments successfully collected and cleared. No commission is earned on free trials, unpaid or cancelled subscriptions, self-purchases, or purchases that are refunded or charged back.
We may change commission rates or structure on a prospective basis. Commissions already validly accrued before a change will be honored at the prior rate.

4. Payment Terms

Schedule: Commissions are paid monthly. Commissions earned in a given month become payable after a 30-day clearing period (to account for refunds and chargebacks) and are paid in the next payout cycle following clearance.
Minimum threshold: US$50. If your payable balance is below US$50 in a cycle, it rolls over to subsequent cycles until the threshold is met.
Method: PayPal or Wise, sent to the payout details you provide. You are solely responsible for the accuracy of those details; we are not liable for commissions sent to details you supplied.
Currency: Commissions are calculated and paid in US dollars.
Taxes: You are solely responsible for all taxes on your commissions. You may be required to provide valid tax documentation (e.g., IRS Form W-8 or W-9) before payment. Commissions are paid without withholding unless required by law.

5. Refunds, Chargebacks & Clawbacks

If a referred customer's payment is refunded, charged back, or otherwise reversed, the associated commission is cancelled and deducted from your balance. If that commission was already paid to you, we may offset the amount against your future commissions or invoice you for it.

6. Prohibited Conduct

You agree that you will not:

Refer yourself, accounts you control, or create fake, fraudulent, or incentivized sign-ups;
Use spam, unsolicited email or messaging, or any deceptive or misleading practices;
Make false, misleading, or unauthorized statements about Ordyn — including any guarantee of profit, any representation that Ordyn provides financial or investment advice, or that Ordyn is a custodian, broker, or exchange;
Bid on, or use, Ordyn's trademarks or brand terms in paid search advertising, or register domains, handles, or usernames that are confusingly similar to "Ordyn";
Engage in cookie stuffing, click fraud, or any manipulation of Ordyn's tracking;
Distribute unauthorized coupons, discounts, or promotions;
Promote Ordyn in any manner that violates applicable law, third-party rights, or the rules of any platform (including X, Google, Apple, or Google Play).

Violation of this Section may result in immediate termination and forfeiture of unpaid commissions.

7. Brand Use & Disclosure

We grant you a limited, revocable, non-exclusive, non-transferable license to use Ordyn's name, logo, and approved marketing materials solely to promote Ordyn in accordance with these Affiliate Terms.
You may not modify Ordyn's logo or imply any relationship beyond the affiliate relationship. All goodwill arising from your use of our marks inures to Ordyn, and we may revoke this license at any time.
Where required by law (for example, the U.S. FTC endorsement guidelines), you must clearly disclose your affiliate relationship to your audience.

8. Relationship of the Parties

You are an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind Ordyn or make commitments on its behalf.

9. Term & Termination

Either party may terminate participation in the Program at any time, for any reason, with or without notice.
Upon termination, your referral link is deactivated. You remain entitled to commissions that were validly accrued and payable before termination, subject to these Affiliate Terms (including clearance, clawbacks, and the minimum threshold) — except that, if termination is due to fraud or a violation of these Affiliate Terms, all unpaid commissions may be forfeited.
Provisions that by their nature should survive (including Sections 4–5, 7–8, and 10–13) survive termination.

10. Disclaimers & Limitation of Liability

The Program and all tracking and tools are provided "as is" and "as available." We do not guarantee any level of earnings, traffic, conversions, or tracking accuracy or uptime. To the maximum extent permitted by law, Ordyn shall not be liable for any indirect, incidental, special, or consequential damages, and Ordyn's total aggregate liability arising out of or relating to the Program shall not exceed the total commissions paid to you during the six (6) months preceding the event giving rise to the claim.

11. Confidentiality

Non-public information we provide in connection with the Program (including commission terms negotiated individually, tools, and performance data) is confidential. You may not disclose it or use it outside the Program.

12. Changes to These Terms

We may modify these Affiliate Terms or the Program at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued participation after changes take effect constitutes acceptance.

13. Governing Law

These Affiliate Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in British Columbia, Canada shall have exclusive jurisdiction over any dispute arising out of or relating to the Program.
